Please read the following Terms of Service carefully before using the LEIpapa (leipapa.com) website (Website, as defined below), its domains, and subdomains. By accessing this Website, You agree to be bound by these Terms of Service and Applicable Laws. If You do not agree with these Terms of Service, You may not use the Website.
Applicable Law
The LEIpapa (or LEIpapa OÜ, leipapa.com, *.leipapa.com, “We”, “Us”, “Our”) together with all our policies and procedures will be governed by and construed under the laws of the European Union and the Republic of Estonia, and you irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Estonia.

LEIpapa OÜ is an official LEI Registration Agent of Ubisecure RapidLEI (LOU) and operates under the registered trademark LEIpapa™.
General Terms
Definitions
LEI (or LEI number, or LEI code) – the Legal Entity Identifier which is a unique identification code for legally independent entities. This is a 20-character, alpha-numeric code based on the ISO 17442 standard.
Local Operating Unit (LOU) – Ubisecure OY, acting as RapidLEI.
Website – a set of the data and information available at leipapa.com, its domains, and subdomains.
Service – set of services provided by LEIpapa to request, manage and apply for the issuance of LEI(s) via the Website.
You, Client, LEI applicant – the user of LEIpapa Service available on the Website.
Agreement – a commitment that constitutes the entire agreement between the Client and the LEIpapa and governs the use of the Service.
Order – Client's instruction to LEIpapa related to the issuance, renewal, or transfer LEI(s).
Intellectual Property Ownership and Use
Please be aware that as You visit and navigate Our Website, Your use of Our site is subject to Applicable Laws governing the ownership and use of intellectual property, including Our trademarks and copyrights.
For International Website Users
The LEIpapa Website is hosted on the Cloud Platforms provided by Google, Netlify, and DigitalOcean, and is intended for and directed to users in European Union. If you are accessing the Website from the United States, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure, that differ from European laws, please be advised that through your continued use of the Website, which is governed by European law, our Privacy Policy, and our Terms of Service, you are transferring your personal information to the European Union and you consent to that transfer.
Trademarks
You may not use any of the LEIpapa trademarks or slogans without prior written permission from LEIpapa. Trademarks or slogans include the names: leipapa.com, LEIpapa, LEIPAPA, leipapa, and logos, and other graphics, page headers, button icons, scripts, and service names of LEIpapa’s products, services, and programs. Any other trademarks that appear on Our Website are the property of their owners, who may or may not be affiliated with, connected to, or sponsored by Us or Our affiliates.
Copyright
All text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations appearing on the Website, as well as the software used to create them, are owned by LEIpapa and are protected by EU and foreign copyright laws. You may electronically copy and/or print “hard copies” from the Website only for personal, non-commercial purposes related to placing an order on the Website. Any other use of any content included on the Website, including linking or framing to this Website, is strictly prohibited unless you first obtain prior written consent from LEIpapa.
Non-Confidential Information
Except for information and documents necessary to place an order, LEIpapa does not want the Client to send any confidential or proprietary information through LEIpapa Website. Any information, materials, suggestions, ideas, or comments sent to LEIpapa will be considered non-confidential, and by submitting it, the Client is giving LEIpapa the absolute right to use, modify, reproduce, transmit, display, and distribute it for any purpose whatsoever, with no payment or other compensation to the Client or someone else. However, LEIpapa will not use your name unless it is required by law to identify the source of the materials, information, suggestions, ideas, or comments, or unless LEIpapa first obtains your permission.
Errors and Inaccuracies
LEIpapa always tries to provide complete, accurate, up-to-date information on the Website. Unfortunately, despite those efforts human or technological errors may occur. This Website may contain typographical mistakes, inaccuracies, or omissions, some of which may relate to pricing and availability, and some information may not be complete or current. LEIpapa reserves the right to correct any errors, inaccuracies, or omissions, including after an order has been submitted, and to change or update information at any time without prior notice.
Prices
LEIpapa reserves the right to change prices for providing its Service from time to time. Updated information is published on the page LEI fees of this Website before the changes are made.
Service
- To apply for a new LEI number, renew an existing LEI number or transfer an LEI number under the management of LEIpapa, the Client must register and fill in the relevant application form presented on the Website, submit all necessary data and pay for the service.
- The Client agrees that they accept these Terms of Service while submitting the application. The Client confirms that the data submitted is correct and that they have full authority to apply for an LEI number on behalf of the Legal Entity. The Client is aware their contact details will be shared with the Local Operating Unit (LOU).
- A new Client gives all rights to LEIpapa to apply for an LEI code on the Legal Entity’s behalf. An LEI Renewal Client gives all rights to LEIpapa to renew an LEI on the Legal Entity’s behalf. An LEI transfer Client gives all rights to LEIpapa to transfer their LEI under the management of LEIpapa. An LEI transfer Client is aware that an LEI transfer entails/may entail a change of LOU. If an LEI renewal Client applies to renew an LEI code with LEIpapa that is not under LEIpapa management, the LEI needs to be transferred under the management of LEIpapa. The LEI can be transferred before renewing the LEI or during the LEI renewal process. LEIpapa cannot renew an LEI code that is not under the management of LEIpapa.
- An LEI that is managed by LEIpapa can only be renewed 60 days before it expires. However, if the Client transfers and renews an LEI that is managed by another service provider and the next renewal of the LEI is further than 60 days, those days may be lost. If days are lost in the renewal period, no refunds will be issued.
- The Client is aware and agrees to give all rights to LEIpapa to sign the terms and conditions with the LOU on their behalf. The terms of service of RapidLEI can be found at this link. Other LOUs have very similar terms of service since they all follow the same GLEIF guidelines.
- LEIpapa begins with the LEI registration process shortly after the payment is made by the Client and all necessary data is provided. The Client can not revoke the application submitted.
- The Client is aware that they may be contacted to supply a Power of Attorney or any other proof that shows they are authorized to apply for an LEI on behalf of the Legal Entity. The Client is aware that if asked and no such authorization is presented, LEIpapa cannot proceed with the application. If the Client fails to provide all necessary data and documents, LEIpapa keeps the right to not issue any refunds.
- LEIpapa can also contact the Client to provide additional documents that prove the registration of the Legal Entity or any other documents that show who the authorized representatives of the Legal Entity are. The Client is aware that if asked and no such documents are presented LEIpapa cannot proceed with the application. If the Client fails to provide such documents LEIpapa keeps the right to not issue any refunds.
- If a Legal Entity applying for an LEI code or renewing/transferring an LEI code with LEIpapa has a direct and/or ultimate parent company that owns over 50% of shares and consolidates the accounts of the child company, the Legal Entity is required to report parental (level 2 data). If the Legal Entity does not have any parent companies or can’t report them while applying for an LEI number, it will be necessary to indicate a reason for not providing this information by choosing a reporting exception.
- Validating parental data is suitable for an additional fee specified on the LEI fees page of this Website. Validating parental data can take up to 48 hours if there are no issues with the data provided. LEIpapa can contact the Client to provide additional documents to verify consolidation. The Client is aware that if asked and no such documents are presented LEIpapa can’t proceed with the application. If the Client fails to provide such documents LEIpapa keeps the right to not issue any refunds. LEIpapa provides no refunds if after validating the parental data it becomes clear that the parent company(s) does not consolidate.
- In most cases, new LEI codes are issued within 1-24 hours. Validating parental data can take up to 48 hours. LEI renewals and transfers can take up to 7 days. If there are issues with data validation, or in other relevant cases, the processing periods can be longer than usual. Once the process has been completed the Client receives a confirmation e-mail with the invoice to the contact e-mail provided in the LEI application.
- The Client is aware and agrees that the application will be counted as final once the application has been submitted and the payment has been made. If the Client has submitted an application for a new LEI code or ordered an LEI renewal or transfer, and the Client has accepted the Terms of Service, the application is considered to be final and it is not possible for the Client to revoke the application. If the Client has provided enough information to process the LEI application, the process cannot be stopped and the LEI will be issued. Once an LEI has been issued it cannot be deleted or transferred to a different Legal Entity.
- Once an LEI code has been issued it will be published in the Global Legal Entity Identifier Foundation’s (GLEIF) database and on Our Website.
- Orders are processed by LEIpapa during regular business hours based on the Estonian calendar. Mon, Tue, Thu, Fri 11:00-16:00; Wed 11:00-14:00.
Multiyear Contracts
- For the convenience of the Clients, LEIpapa offers the option to pay the renewal fee up to 5 years in advance. If the Client has purchased the LEI renewal service for multiple years, LEIpapa will cover the renewal fee for the purchased period. LEIpapa renews the data of the Legal Entity in the GLEIF database annually based on the data provided in the public business registries. The Client accepts that if the data of the Legal Entity has changed in the register, it will be updated accordingly during the LEI renewal process.
- The Client undertakes to notify LEIpapa if any data has changed that cannot be validated in the public business registers. LEIpapa will update the data accordingly via the corresponding LOU.
- The Client accepts that if they have provided the details of a consolidating parent company, LEIpapa may contact them to provide updated consolidated accounts annually. If the Client fails to provide updated consolidated accounts or an exception for reporting parental data, LEIpapa is unable to renew the LEI code, and the LEI code will be renewed once the Client has provided the requested information.
- If the authorized representatives of the Legal Entity have changed during the automatic renewal period and the signing authority provided is no longer listed in the company registry, LEIpapa will contact the Client to provide a Letter of Authorization signed by an authorized representative or proof of authorization. If the Client fails to provide the requested documents LEIpapa will not be able to renew the LEI code. The LEI will be renewed once the Client has provided the requested documents.
- If the Client fails to provide the requested information (updated consolidated accounts, reporting exception, Letter of authorization or proof of authorization, or any other data requested) within 60 days LEIpapa has the right to cancel the multiyear contract without issuing a refund.
- If the Client has ordered a multiyear renewal of their LEI (e.g. a 5-year LEI) and discovers later that they do not need an active LEI anymore they cannot claim a refund.
- If the Client has ordered a multiyear renewal of their LEI (e.g. a 5-year LEI) from LEIpapa and during the prepaid period transfers the LEI to a different service provider, the multiyear contract is automatically canceled and refunds will not be issued.
- Regardless of whether the Client has bought the renewal service for multiple years (2-5), the LEI data is updated annually. The “NEXT RENEWAL DATE” field in the GLEIF database is usually the time of LEI issuance/last renewal + 365 days, but never more than 425 days in the future.
- Clients who order the LEI registration service for 1 year can opt to have their LEI renewed automatically on an annual basis.
- If a Client has chosen the automatic annual LEI renewal, they will be charged 60 days before the LEI’s “NEXT RENEWAL DATE”. The payment will be deducted from the same account that was provided for the previous payment.
- The Client will be notified about the upcoming automatic renewal via e-mail, having a 5-day period for submitting changes to their LEI data in case anything needs to be updated or to cancel the automatic renewal of their LEI. After the 5-day period, LEIpapa starts the renewal process and the Client will receive a final confirmation e-mail with the final invoice for the renewal service once the renewal process has been completed. Once the LEI has been renewed the renewal cannot be reversed and no refunds will be issued.
- LEIpapa will notify the Client via e-mail 30 days before an LEI needs to be renewed (i.e. 30 days before the paid expiration date).
Fast Track Service
- Fast Track service is for new LEI Clients only from certain jurisdictions. Fast Track supports Legal Entities that are registered in the local business registry and do not have or report Level 2 (parental structure) data. If the Client qualifies for Fast Track, the Fast Track checkbox will appear on the order page. If the Fast Track checkbox is not displayed on the order page, that means LEIpapa didn’t find a match between the Legal Entity’s registration number and the local business registry or the parental structure specified in the application. In this case, the LEI application will be treated as a regular application.
- If the Fast Track option is displayed on the payment page, it is free of charge for multi-year contracts. For one-year contracts, an additional fee will be charged for the Fast Track service. The fee is specified on the LEI fees page of this Website.
- LEIpapa guarantees to provide a new LEI within 6 hours for Fast Track Clients. The extra charge for the Fast Track service will be refunded if LEIpapa is not able to deliver the LEI within 6 hours. Since there is no extra charge for Fast Track service for multi-year contracts, no refunds will be given for multi-year Clients. LEIpapa will make all reasonable efforts to provide the LEI within the agreed time frame.
Fees and Refunds
- The fees for applying for a new LEI, transferring an LEI, or renewing an LEI can be found on the LEI fees page of this Website. The cost of a new LEI code includes the initial registration of an LEI and the annual renewal of the LEI for the selected period. The cost of renewing an existing LEI code includes the annual renewal of the LEI for the selected period (there is no charge for transferring an LEI if it is required). The GLEIF fee is included in the stated cost.
- The Client can use additional services for additional fees, specified on the LEI fees page of this Website.
- The indicated prices herein are with 0% VAT. VAT is not charged for the export of services to Legal Entities located outside the European Union.
- The refund is not possible if the purchase is considered final (the order has been placed), the Client transfers the LEI to another service provider, the Client fails to submit proof of authorization, proof of Legal Entity registration, or any other documentation required to issue, transfer or renew the LEI in the course of 60 days since the application has been submitted, or If a renewal request is submitted and we find the entity to be inactive, dissolved, or otherwise no longer in good standing on the registry.
- The refund period as detailed under the GLEIF RA Governance Framework will be honoured appropriately.
- The Client is entitled to request a refund if they do not meet any of the conditions mentioned in p.4 above. LEIpapa has the right to charge a refund fee to cover payment provider fees. The payment provider charges such fees automatically during the payment and they are not negotiable.
- To request a refund, the Client should contact the LEIpapa support team using the details specified on the Contact page of this Website or via e-mail: [email protected].
- Refunds will be issued within 7 days. Please note that refund times vary by bank and may take up to 30 days to arrive.
Final Notes
- The Client bears full responsibility for all activities related to the LEI number associated with the Legal Entity they represent. LEIpapa is not responsible in any way for possible damages related to LEIs.
- LEIpapa acts as LEI Registration Agent on behalf of the Client and works with GLEIF-accredited LOUs to order, renew or transfer LEIs for their Clients.
